Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Vortex OS, the Business Reconstruction System™ methodology, and related services (collectively, the “Service”), operated by Back Office Solutions LLC (“we,” “us,” or “BOS”). By creating an account, purchasing a subscription, or accessing the Service you agree to these Terms.

2. Account & Eligibility

You must be at least 18 years old and authorized to bind the business you represent. You are responsible for the security of your credentials and all activity under your account. You agree to provide accurate company, billing, and contact information and to keep it current.

3. Subscriptions, Billing & Refunds

Subscriptions renew automatically each billing period at the price in effect at signup unless you cancel through the in-app billing portal before the renewal date. One-time purchases are non-refundable once delivered. Subscription fees are non-refundable for any partial period of service. Failed payments may result in suspension after Stripe’s standard retry window.

4. Founding Member Beta

Use of the Founding Member Beta is also subject to the separate Founding Member Agreement, which controls in the event of conflict regarding pricing lock-in, beta participation, and feedback obligations.

5. Acceptable Use

You agree not to: (a) reverse engineer or resell the Service; (b) upload unlawful, infringing, or malicious content; (c) attempt to gain unauthorized access; (d) use the Service to send unsolicited marketing communications; or (e) use the Service in violation of applicable law.

6. Your Data

You retain ownership of all data you submit (“Customer Data”). You grant BOS a limited license to host, process, transmit, and display Customer Data solely to operate and improve the Service. We process Customer Data in accordance with our Privacy Policy.

7. AI Features

Outputs generated by AI features (Vorty, Marketing Studio, Sales Coach, etc.) may be inaccurate or incomplete. You are responsible for reviewing AI-generated content before relying on it for financial, legal, contractual, or operational decisions.

8. Integrations

The Service connects to third-party services (e.g., QuickBooks, Google, Stripe, Facebook). Your use of those services is governed by their own terms. We are not responsible for third-party service availability or accuracy.

9. Confidentiality & Security

We maintain reasonable administrative, technical, and physical safeguards designed to protect Customer Data. No system is completely secure; you acknowledge this inherent risk.

10. Intellectual Property

The Service, the Business Reconstruction System™, Vortex OS branding, and all related IP are owned by Back Office Solutions LLC. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal business operations during your subscription.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” BOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOS’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO BOS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. BOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

13. Indemnification

You agree to defend, indemnify, and hold BOS harmless from any claim arising out of your Customer Data, your violation of these Terms, or your violation of applicable law.

14. Termination

You may cancel any time through the billing portal. We may suspend or terminate your access for material breach. Upon termination, your right to use the Service ends; export of Customer Data is available for 30 days after termination.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which Back Office Solutions LLC is organized, without regard to conflict of law principles. Disputes will be resolved in the state and federal courts located in that state.

16. Changes

We may update these Terms. Material changes will be notified by email or in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
